Terms and conditions

These terms govern access to and use of the Granel service (the “Service”), a SaaS platform for managing commodity trading operations.

By creating an account or using the Service, the customer accepts these terms. If you do not agree with any of them, do not use the Service.

• The customer is responsible for the accuracy of the information provided.
• The customer is responsible for safeguarding their access credentials.
• The customer warrants that the data entered into the Service complies with applicable law and does not infringe third-party rights.
• Using the Service for unlawful or fraudulent activity, or contrary to contractual good faith, is prohibited.

Every new organisation gets a free trial of 14 days from sign-up, with access to the features of the Service and no card required. During the trial the usage limits published on the pricing page apply, including those on AI extractions, capture channels and API keys; once a plan is purchased, the plan’s limits apply. The trial is one per person: if the email of the user who creates the organisation has already used a trial (even if the account was later closed), the organisation starts without it, in read-only mode until a plan is purchased.

When the trial ends without a plan being purchased, the organisation moves to read-only: the data remains accessible and can be viewed and exported at any time, and billing and team management stay available, but operations cannot be created or modified. No data is deleted because a trial ended, and purchasing a plan restores full access immediately.

The trial does not renew automatically and generates no charge. Billing starts only when the customer expressly purchases a plan.

Current prices are published on the pricing page. Billing is monthly or yearly, always in advance, according to the cycle the customer chooses. Prices exclude VAT. VAT is added to the invoice where applicable.

The subscription renews automatically at the start of each period unless the customer cancels it.

If a payment fails, the customer has a grace period of 7 days during which the Service keeps working normally, allowing time to fix the problem — an expired card, for instance. If payment is not settled within that period, the organisation moves to read-only on the same terms as clause 5, keeping access to its data and to export.

The subscription can be cancelled at any time from the billing panel. Cancellation takes effect at the end of the current billing period — the month or the year, depending on the contracted cycle. Periods already invoiced are not refunded unless required by law.

The Service, its code, design, brand and content are the property of Thinktier OÜ or its licensors. The customer retains all rights over the data they enter into the Service. Thinktier OÜ obtains a limited licence over that data for the sole purpose of providing the Service.

Thinktier OÜ will endeavour to keep the Service highly available, without this constituting a guarantee of uninterrupted availability. Enterprise customers have a specific SLA set out in their contract.

To the fullest extent permitted by law, Thinktier OÜ’s total liability to the customer arising from or relating to the Service is limited to the amount actually paid by the customer in the twelve months preceding the event giving rise to the claim.

Thinktier OÜ is not liable for indirect losses, loss of profit, loss of data not attributable to Thinktier OÜ, or commercial decisions taken by the customer on the basis of information produced by the Service.

Both parties will keep confidential the information exchanged within the contractual relationship and use it only for the purposes contemplated by the Service.

The processing of personal data is governed by our privacy policy.

Where the customer enters third parties’ personal data into the Service — the contact people at its counterparties, or the messages it forwards for capture — the customer is the controller of that processing and Thinktier OÜ acts as processor, under the data processing agreement, which forms part of these terms.

Thinktier OÜ may amend these terms. Material changes will be notified to registered customers at least 30 days in advance.

These terms are governed by the law of the Republic of Estonia, without prejudice to mandatory consumer rights where applicable. Disputes that cannot be settled by agreement will be submitted to the competent courts of Estonia.
